We are looking to buy a fish farm and want to know what terms are standard in agricultural offers. We want to ensure the condition of land; that plants and equipment are maintained; to transfer the deal with nursery plants and crops that are due to harvest after transfer; deal with livestock that are difficult to inventory; that species with different sales values are mixed in a tank to ensure no land claims, that there is no planned road expropriation, no red listed plants/ insects/ animals on the property; and to ensure all equipment services are up to date.

Typically what would be included in any sale agreement are certain warranties that the seller would cover the purchaser in relation to all of the items that you’ve identified above. Specifically, the agreement might contain the following warranty: “The Seller hereby warrants to the Purchaser that the Land, Plants and Equipment will be properly maintained and looked after, so that they do not unreasonably deteriorate in the period from the Signature Date of this Agreement until the Transfer Date of the property. “Similar warranties will need to be included for the other items. Then you would need to have a clause in the agreement that deals with a breach of warranties.
